Beyond Basil Mobile Pizzeria Franchise, LLC(“Beyond Basil” or “Company”) is offering a Franchise Referral Reward Program (“Program”) to individuals who refer qualified prospective franchise owners to Beyond Basil and whose referrals result in the completed purchase of a Beyond Basil Mobile Pizzeria franchise.

1. Eligibility

The Program is open to legal residents of the United States who are 18 years of age or older at the time the referral is submitted.

Beyond Basil owners, current or future franchisees, and immediate family members are eligible to participate, subject to applicable federal, state, and local laws and any additional restrictions required by Beyond Basil. Beyond Basil employees are not eligible to participate in the Program.

Void where prohibited or restricted by law. Without limiting the foregoing, the Program is void in any state or jurisdiction in which the payment of compensation to an unregistered individual for referring a prospective franchisee to a franchisor is prohibited, requires registration as a franchise broker or franchise salesperson, or otherwise requires licensure or regulatory approval that the referring individual has not obtained.

2. Qualifying Referral

To qualify for the Program, the referred prospective franchisee must be a new prospect who has not previously:

• Submitted a franchise inquiry to Beyond Basil;

• Been entered into Beyond Basil's franchise sales or prospect database;

• Participated in a discovery call or other franchise sales conversation with Beyond Basil; or

• Otherwise initiated the Beyond Basil franchise exploration process.

The referring individual must submit the referral through Beyond Basil's designated referral submission form before the prospective franchisee enters Beyond Basil's franchise sales process. Each referral submission must include the referring individual's full legal name, contact information, and the prospective franchisee's name and contact information. Referrals will be recorded with a date-and-time stamp upon receipt by Beyond Basil, and such record shall be used to establish priority for purposes of the first-in-time rule set forth below. Referrals submitted by any means other than the designated submission form may not be recognized under the Program.

Self-Referrals and Ownership Interest

Self-referrals are not eligible for the Program. A participant may not refer themselves, directly or indirectly, for purposes of earning a referral reward.

A participant is not eligible to receive a referral reward for referring a prospective franchisee if the participant will be a party to the same Franchise Agreement or will have any direct or indirect ownership interest in the franchisee entity or Beyond Basil franchise business resulting from the referral.

A referral of a spouse, immediate family member, friend, or other individual may otherwise qualify, provided that the referring participant will not be a party to the resulting Franchise Agreement, will have no direct or indirect ownership interest in the resulting franchise or franchisee entity, and all other Program requirements are satisfied.

If more than one individual claims to have referred the same prospective franchisee, the reward will be awarded to the first eligible referrer documented in Beyond Basil's records.

Beyond Basil reserves the right to determine, in its reasonable discretion and based on its records, whether a referral qualifies under the Program.

3. When the Referral Reward Is Earned

Submitting a referral alone does not earn a reward.

A referral becomes a “Qualifying Franchise Referral” only after the referred prospective franchisee:

• Completes Beyond Basil's franchise evaluation and approval process;

• Executes a final Beyond Basil Franchise Agreement; and

• Pays the required initial franchise fee in full, with such payment received and cleared by Beyond Basil.

Once all applicable requirements have been satisfied, Beyond Basil will notify the eligible referrer that the referral reward has been earned (“Award Date”).

4. Referral Reward

For each Qualifying Franchise Referral, the eligible referrer will receive:

One four-night Disney Cruise for up to four (4) guests sharing one standard stateroom, with a maximum total value of $5,000.

The specific sailing, ship, itinerary, departure port, dates, and stateroom category will be selected from eligible options and are subject to availability, booking requirements, cruise-line policies, and the maximum reward value.

The reward is limited to the cost of the approved cruise accommodations and those items expressly included in the approved cruise fare, up to the maximum stated value.

5. Additional Guests, Upgrades & Optional Expenses

The recipient may elect to purchase upgrades or additional services at the recipient's own expense.

Any costs exceeding the Program's maximum reward value are solely the responsibility of the recipient.

Unless expressly approved by Beyond Basil in writing, the reward does not include:

• Transportation or airfare to or from the cruise departure port;

• Ground transportation;

• Parking;

• Pre- or post-cruise hotel accommodations;

• Additional guests beyond four (4); Infants count as 1 person.

• Additional or upgraded staterooms;

• Stateroom category upgrades;

• Travel insurance;

• Gratuities;

• Shore excursions;

• Alcoholic beverages;

• Specialty or premium dining;

• Spa services;

• Photography;

• Internet or other onboard purchases;

• Optional packages or enhancements;

• Passport, visa, identification, or other travel-document expenses; or

• Any other personal or incidental expenses not included in the approved cruise fare.

Any additional guests, upgrades, packages, excursions, or other enhancements requested by the recipient must be paid directly by the recipient.

6. Booking & Travel Deadline

The cruise reward must be booked and travel completed within eighteen (18) months of the Award Date.

Failure to book and complete travel within the required 18-month period may result in forfeiture of the reward without compensation or replacement, except where otherwise required by law or expressly agreed to by Beyond Basil in writing.

Sailing dates and itineraries are subject to availability. Blackout dates, holiday restrictions, capacity limitations, cruise-line restrictions, or other booking limitations may apply. Specific Sailing dates are not guaranteed.

Recipients are encouraged to begin the booking process promptly after receiving their reward.

7. Travel Requirements

The recipient and all traveling guests are solely responsible for satisfying all applicable travel requirements, including passports, identification, visas, health requirements, cruise-line documentation, and any other requirements applicable to the selected itinerary.

All travelers must comply with Disney Cruise Line's then-current booking terms, cruise contract, policies, eligibility requirements, and travel requirements.

Failure by the recipient or any guest to satisfy applicable travel requirements does not entitle the recipient to additional compensation, an extension of the redemption period, or a replacement reward.

8. Travel Arrangements

Cruise arrangements will be coordinated through a designated travel professional or travel agency selected or approved by Beyond Basil.

The recipient will work with the designated travel professional to identify eligible sailings within the Program requirements and maximum reward value.

Final sailing availability, pricing, accommodations, itinerary, and booking are subject to Disney Cruise Line's applicable terms and availability at the time of reservation.

9. Multiple Referrals

There is no limit to the number of qualifying referrals an eligible participant may make.

One cruise reward will be earned for each separate Qualifying Franchise Referral that results in a completed franchise sale meeting all Program requirements.

For example, if an eligible participant refers three separate qualified prospects and all three independently complete qualifying Beyond Basil franchise purchases, the participant may earn three separate referral rewards.

Each reward remains subject to these Terms & Conditions.

10. Referrer's Limited Role

Participants in this Program are authorized only to make introductions or referrals to Beyond Basil.

Participation in the Program does not authorize a referrer to act as an employee, agent, representative, franchise broker, franchise salesperson, or other representative of Beyond Basil.

Unless separately authorized in writing by Beyond Basil and permitted by applicable law, referrers may not:

• Offer or sell a Beyond Basil franchise;

• Negotiate franchise terms;

• Make representations or warranties on behalf of Beyond Basil;

• Provide financial performance representations or earnings claims;

• Represent anticipated revenues, profits, costs, returns on investment, or financial results;

• Interpret Beyond Basil's Franchise Disclosure Document or Franchise Agreement for a prospective franchisee; or

• Otherwise participate in the franchise sales process beyond making the initial referral or introduction.

All franchise information, disclosures, representations, negotiations, and sales communications will be handled directly by authorized representatives of Beyond Basil.

11. No Guarantee of Franchise Approval

Referral of a prospective franchisee does not guarantee that the individual will be approved for a Beyond Basil franchise.

Beyond Basil retains sole discretion regarding franchise candidate qualification and approval, subject to applicable law.

Beyond Basil is under no obligation to approve, enter into an agreement with, or sell a franchise to any referred candidate.

12. No Cash Value or Substitution

The referral reward has no cash redemption value and may not be exchanged for cash and is not transferable.

Beyond Basil reserves the right, if circumstances outside its reasonable control make the advertised reward unavailable, to substitute a reward of comparable value, subject to applicable law.

13. Taxes

The recipient is solely responsible for any federal, state, or local taxes resulting from receipt of the referral reward. The fair market value of the cruise reward is expected to exceed the Internal Revenue Service's reporting threshold (currently $600), and Beyond Basil will report the value of the reward to the IRS on Form 1099-MISC (or such other form as may be required by applicable law) for the tax year in which the reward is provided.

As a condition of receiving the referral reward, the recipient must provide Beyond Basil with a completed IRS Form W-9 (or applicable successor form) and any other information or documentation reasonably requested by Beyond Basil for tax reporting purposes. Failure to provide a completed W-9 or required tax documentation within the time period specified by Beyond Basil may result in delay or forfeiture of the reward and may subject the recipient to backup withholding as required by applicable law.

Participants are encouraged to consult their own tax advisor regarding the tax consequences of receiving a referral reward.

14. Changes, Cancellations & Forfeiture

Once travel has been booked, any requested changes, cancellations, upgrades, or modifications are subject to the applicable cruise line's policies and may result in additional charges for which the recipient is responsible.

Beyond Basil is not responsible for costs resulting from missed sailings, canceled travel arrangements, failure to obtain required travel documents, personal scheduling conflicts, or circumstances attributable to the recipient or their guests.

Any cruise-line cancellation, itinerary change, delay, substitution, or other operational change will be governed by the cruise line's applicable policies.

15. Program Modification or Termination

Beyond Basil reserves the right to modify, suspend, or terminate the Program at any time, subject to applicable law.

Any modification or termination will not affect a referral reward already earned before the effective date of the modification or termination unless otherwise required by law.

Beyond Basil may disqualify any participant who engages in fraud, misrepresentation, manipulation of the referral process, violation of these Terms & Conditions, or conduct intended to circumvent the Program's requirements.

16. Disney Cruise Line Disclaimer

Disney Cruise Line, The Walt Disney Company, and their respective parents, subsidiaries, and affiliates are not sponsors, administrators, or endorsers of the Beyond Basil Franchise Referral Reward Program.

The Program is offered solely by Beyond Basil.

All Disney Cruise Line trademarks, service marks, trade names, and other intellectual property belong to their respective owners.

The recipient's cruise reservation and travel are subject to Disney Cruise Line's applicable terms, conditions, cruise contract, policies, and availability.

17. Governing Law

These Terms & Conditions and the Program shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict-of-laws principles, except to the extent preempted by federal law.

18. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to the Program or these Terms & Conditions shall first be submitted to Beyond Basil in writing, and the parties shall attempt in good faith to resolve the dispute informally within thirty (30) days. If the dispute is not resolved within such period, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its then-current Commercial Arbitration Rules, conducted in Maricopa County, Arizona. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Each party shall bear its own costs and attorneys' fees unless the arbitrator determines otherwise. To the fullest extent permitted by applicable law, any arbitration shall be conducted on an individual basis and not as part of a class, consolidated, or representative action.

19. Limitation of Liability

To the fullest extent permitted by applicable law, Beyond Basil, its officers, directors, members, managers, employees, agents, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with the Program, the referral reward, or the recipient's use or inability to use the reward, including but not limited to damages arising from travel delays, cancellations, personal injury, property damage, or any acts or omissions of Disney Cruise Line or any third-party travel provider. Beyond Basil's total aggregate liability under the Program shall not exceed the maximum stated value of the applicable referral reward.

20. Privacy

Personal information collected in connection with the Program will be collected, used, and disclosed in accordance with Beyond Basil's Privacy Policy, available at https://www.beyondbasilmobilepizzeria.com/privacy-policy.

By participating in the Program, each participant and referral recipient consents to the collection, use, and disclosure of their personal information as described in the Privacy Policy and as necessary to administer the Program and comply with applicable law.

21. Acceptance of Terms

Participation in the Beyond Basil Franchise Referral Reward Program constitutes acceptance of these Terms & Conditions.

By submitting a referral, the participant acknowledges that eligibility for a reward is contingent upon satisfying all Program requirements and that no reward is earned merely by submitting a prospective franchise candidate.
